Explanation of Responses:

1. Represents restricted stock units granted to the Reporting Person. Each restricted stock unit represents a contingent right to receive one share of the Issuer's Common Stock. All of the shares subject to the award shall vest on the date preceding the date of the Issuer's 2016 Annual Meeting of Stockholders. Pursuant to an election previously made by the Reporting Person, settlement of vested restricted stock units will be deferred until the earlier of (i) the Reporting Person's separation from service with the Issuer or (ii) the occurrence of a change in control of the Issuer.

2. 1/12th of the shares subject to the award shall vest and become exercisable in a series of twelve equal monthly installments measured from June 9, 2015.
