Explanation of Responses:

1. Received in exchange for 6,181 shares of Stone Energy Corporation ("Stone") common stock in connection with the consummation of transactions contemplated by a certain Transaction Agreement, dated November 21, 2017, by and among Talos Energy Inc. (the "Issuer"), Stone, Talos Energy LLC, Saiflish Merger Sub Corporation, a direct wholly owned subsidiary of the Issuer ("Merger Sub"), and Talos Production LLC, whereby Merger Sub merged with and into Stone, with Stone surviving the merger as a direct wholly owned subsidiary of the Issuer.
