Explanation of Responses:

1. On April 1, 2024 the Reporting Person and the Issuer entered into an agreement to elect to be paid part of his salary in stock options in lieu of cash compensation. These options vest in twelve monthly installments commencing on April 1, 2024 through April 1, 2025.

2. Includes 65,556 Warrants to Purchase Common Stock, and 286,134 Options to Purchase Common Stock.
