1. This amount represents 3,848 shares of restricted Class A Common Stock granted and issued under Professional Holding Corp.'s 2019 Equity Incentive Plan for Directors' compensation. The grant vests in three annual installments December 20, 2023, December 20, 2024, and December 20, 2025, subject to earlier vesting in certain circumstances. The closing market price of a share of Class A Common Stock on the date of the grant was $27.67.
