1. 25% of the shares subject to the option vest on each three-month anniversary from May 8, 2019 such that 100% of the shares subject to the option will be fully vested and exercisable upon the earlier of May 8, 2020 or the day immediately preceding the next regular annual stockholders meeting.

2. Each restricted stock unit represents the contingent right to receive one share of Gilead Sciences, Inc.'s common stock.

3. 100% of the restricted stock units will vest upon the earlier of May 8, 2020, or the day immediately preceding the next regular annual stockholders meeting.
