Explanation of Responses:

1. The figures reflected herein have been adjusted to take into account a 1 for 15 reverse split of the Company's common stock that was effected on August 11, 2023.

2. 25% of the total number of shares subject to the option shall vest on August 31, 2024 and the remaining 75% shall vest in thirty-six (36) equal monthly installments, subject to the reporting person's continued service through the applicable vesting dates.
