| Item 1.01 | Entry Into A Material Definitive Agreement |
On October 19, 2009, Federated Kaufmann Fund, a party to the Securities Purchase Agreement dated September 29, 2009 (the “SPA”), by and among Threshold Pharmaceuticals, Inc. (“Threshold”) and the investors named therein, sent a letter to Threshold stating that Federated is waiving its rights under Section 4.7 of the SPA, including its right to designate a nominee to Threshold’s board of directors.
