Item 4.01 Changes in Registrant’s Certifying Accountant.
On September 28, 2004, the Audit Committee of the Board of Directors of ActivCard Corp. (the “Company”) appointed BDO Seidman, LLP (“BDO”) as the Company’s registered independent public accounting firm. During the Company’s two most recent fiscal years and the period from the end of the most recent fiscal year to the date of appointment of BDO, neither the Company nor anyone acting on its behalf consulted with BDO with respect to either (i) the application of accounting principles to a specified transaction, either completed or proposed; or the type of audit opinion that might be rendered on the Company’s financial statements, or (ii) any other subject matter or reportable event set forth in Item 304(a)(2)(ii) of Regulation S-K.
Item 5.03 Amendments to Articles of Incorporation or Bylaws, Change in Fiscal Year.
On September 28, 2004, the Company’s Board of Directors approved a change in the Company’s fiscal year from December 31 to September 30. This change is effective for the current 2004 fiscal year, which would have otherwise ended December 31, 2004 and will now end on September 30, 2004. The Company will file a quarterly report on Form 10-Q for the three months ended September 30, 2004 and will then file a transitional annual report on Form 10-K for the nine months ended September 30, 2004.
