1. This transaction represents a charitable donation effective February 11, 2022. This is not a market transaction, thus no price has been reported. No value was received for the donated shares.

2. This amendment is being filed to correct an administrative error in the Form 4 filed by Mr. Rakin, which reported that 47,004 shares of common stock are beneficially owned by him following the reported transaction. Mr. Rakin beneficially owned 53,004 shares of common stock following the reported transaction.
