Explanation of Responses:

1. Represents shares granted on February 21, 2014 which were subject to the issuer's three-year shareholder return (TSR) performance. As of December 31, 2016, TSR metrics were not met and the 13,801 shares were forfeited.

2. Represents the tax liability on December 31, 2016, satisfied by withholding 26,090 shares incident to the vesting of securities under Restricted Stock Award Agreements dated February 20, 2013, February 21, 2014, and February 23, 2015 between the Reporting Person and the Issuer.
