2. Each restricted stock unit ("RSU") represents a contingent right to receive, at settlement, one share of Class A Common Stock or, at the option of the Compensation Committee, the cash value of one share of Class A Common Stock

3. Restricted Stock Units ("RSUs") settle in shares of Class A common stock in 3 installments of 2,232 each on May 6, 2021, June 30, 2021 and September 30, 2021 and a final installment of 2,233 on December 31, 2021.
