Explanation of Responses:

1. Grant of restricted stock that will vest in full on the first anniversary of the closing date of the merger of the Issuer and IBERIABANK Corporation, and that will forfeit in full if that merger fails to close. This award is the "Closing Incentive Award" contemplated by a letter agreement between the Reporting Person and the Issuer, and is subject to the terms of that agreement.
