The reporting person undertakes to provide to Kellogg Company, any security holder of Kellogg Company, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote to this Form 4.

3. Mr. Jenness took all after tax proceeds of the options exercise in Kellogg stock, increasing his share ownership by approximately 830 shares.

4. The option was granted on February 22, 2008 and vested in two equal annual installments beginning February 22, 2009.
