Explanation of Responses:

1. On October 30, 2017, the Company mistakenly filed a Form 4 on the reporting person's behalf reporting the grant of 6,999 restricted stock units vesting on November 15, 2017 as an acquisition of common stock that did not occur. This amended Form 4 is being filed to reflect the deletion of such transaction. The remaining transaction(s) contained in such Form 4 are not amended hereby.
