Explanation of Responses:

1. Consists of a grant of restricted stock units. Each restricted stock unit represents the right to receive, upon vesting, one share of common stock. These restricted stock units will vest on March 14, 2024, assuming continued service through such vest date.

2. Includes, in addition to the 4,930 restricted stock units described in Note (1), 34,956 shares of common stock and 5,527 restricted stock units. These restricted stock units will vest on June 7, 2023, assuming continued service through such vest date.
