1. Consists of 9,631 Stock Units. Each Stock Unit represents the right, subject to vesting, to receive one share of Class A Common Stock. The Stock Units vest in full on the earliest to occur of the following: (a) the first anniversary of the grant date; (b) the date immediately preceding the date on which Verso holds its 2017 annual meeting of stockholders; or (c) the date on which a Change in Control (as defined) occurs.
