Item 5.02 Departure of Directors or Certain Officers.
On March 27, 2008, the registrant was informed by Mr. Anthony Fonzi that effective March 24, 2008, he was resigning his position as the registrant’s Chief Financial Officer and principal accounting officer. Mr. Fonzi also resigned from the Board of Directors. In his letter of resignation, Mr. Fonzi stated, in part, “Due to overwhelming odds in my personal life, I find I cannot execute my duties in a professional and timely manner.” Mr. Fonzi went on to offer any assistance needed in order to make this a smooth transition. As previously reported, Mr. Joseph Riccelli the registrant’s Chief Executive Officer will assume the duties of Chief Financial Officer and principal accounting officer. Mr. Riccelli will do so until a replacement can be appointed.
