Item 1.01 Entry Into A Material Definitive Agreement
The disclosure under Item 3.02 of this current report on Form 8-K is responsive to this Item and is hereby incorporated by reference.
Item 3.02 Unregistered Sales of Equity Securities.
On December 26, 2012, we sold an aggregate of 1,000,000 shares at a price of $0.10 per shares for gross proceeds of $100,000. We issued the shares to one U.S. person (as that term is defined in Regulation S of theSecurities Act of 1933, as amended) who is a director and officer of the registrant and we relied on the exemption from the registration requirements provided for in Section 4(a)(2) of the Securities Act of 1933, as amended.
A copy of the form of subscription agreement is attached as exhibit 10.1 to this current report on Form 8 K.
