| (a) | Timing and Nature of Awards. The Plan Administrator shall have complete discretion to implement one or more Periods under the Plan. The Plan Administrator shall establish the specific Metrics that will be used to determine a Participant’s entitlement to a Long-Term Incentive Award for a Period within a reasonable period of time after the commencement date of that Period, as determined in the Plan Administrator’s sole discretion, but in no event later than six months after such Period’s commencement date. During this period of time, the Plan Administrator shall also establish (i) the manner in which attainment of each Metric will be determined, which may include the setting of threshold, target, superior, and/or other achievement levels for each Metric, (ii) the relative weighting of each Metric to be used in calculating a Long-Term Incentive Award, and (iii) a Target Long-Term Incentive Award for each Participant. Once established, such determinations shall be communicated to the affected Participants in such form and manner as the Company determines to be appropriate. In addition to all other authority and discretion provided herein, the Plan Administrator may, at any time prior to the payment of a Long-Term Incentive Award, make adjustments to any or all previously established Metrics and/or other factors, as the Plan Administrator may deem necessary or appropriate to prevent unintended dilution or enlargement of any Long-Term Incentive Award, including as a result of (i) extraordinary events or circumstances or to exclude the effects of extraordinary, unusual, or non-recurring items, (ii) changes in applicable laws, regulations, or accounting principles, (iii) currency fluctuations, (iv) discontinued operations, (v) asset impairment, or (vi) any recapitalization, restructuring, reorganization, merger, acquisition, divestiture, consolidation, spin-off, split-up, combination, liquidation, dissolution, sale of assets, or other similar corporate transaction, in each case as determined by the Plan Administrator in its discretion. All decisions of the Plan Administrator, including any modifications, shall be final and binding on all Participants. |
