Explanation of Responses:

1. Reflects the grant of Restricted Stock Units that convert into Common Stock, par value $0.000025 per share, of the Issuer, on a one-for-one basis. The Restricted Stock Units will vest 100% on the date of the Company's 2023 Annual Meeting of the Stockholders, subject to the director's continued service. The Restricted Stock Units are also subject to accelerated vesting upon certain events.
