Explanation of Responses:

1. Restricted stock units convert into common stock on a one-for-one basis upon vesting.

2. On September 25, 2017, the Reporting Person was granted 14,114 restricted stock units upon the effectiveness of his appointment to the Issuer's board of directors and in accordance with the Issuer's non-employee director compensation policy (the "2017 Initial Equity Grant"). This 2017 Initial Equity Grant vests in three equal annual installments beginning on September 25, 2018.
