Explanation of Responses:

1. These shares vest in four equal, annual installments, with the first vesting on the one year anniversary of the date of grant.

2. Represent performance stock unit awards vesting in the event certain performance goals are achieved and there is continuous service through the date the goals are certified. Approximately 34% of the performance stock units are tied to the Issuer's cumulative 3-year TSR goals, 33% are tied to the issuer's fiscal year 2021 revenues and 33% are tied to the issuer fiscal year 2021 adjusted EPS goals.The number of shares to be issued may vary between fifty percent and two hundred percent of the number of performance stock units depending on performance, and no such shares will be issued if threshold performance is not achieved. The number of shares shown in the table assumes the attainment of the goals at target or one hundred percent.
