1. On November 10, 2016, one-fourth of a restricted stock unit award granted on November 10, 2015 vested and was earned, but the transaction was not reported on a timely basis.

2. The restricted stock units vest in four equal annual installments from the date of grant with the first installment having vested on November 10, 2016, with acceleration of vesting in certain circumstances associated with a change of control.
