| 2. 11,032 of these shares were issued on June 2, 2023 to the reporting person as director fees pursuant to the KAR Auction Services, Inc. Amended and Restated 2009 Omnibus Stock and Incentive Plan. The 11,032 shares vest on June 2, 2024 and are subject to forfeiture until vested. All other shares are vested. |
