Explanation of Responses:

1. The shares of Class B ordinary shares will automatically convert into shares of Class A ordinary shares at the time of the Issuer's initial business combination or earlier at the option of the holder as described in the section entitled ''Description of Securities - Founder Shares'' in the Issuer's registration statement on Form S-1 (File No. 333-255009), on a share-for-share basis.

2. Timothy Dawson has a pecuniary interest in the shares through his ownership interest in an entity which is the managing member of Tristar Holdings I, LLC (''Sponsor''). Such entity owns a 30% membership interest in Sponsor. Mr. Dawson has no voting or dispositive control of the shares held in the name of Sponsor and disclaims beneficial ownership of all such shares held in the name of Sponsor except to the extent of his respective pecuniary interests in such shares.
