Explanation of Responses:

1. Grant of restricted shares that are subject to forfeiture in the event of a cessation of service with the Company. The shares will cease to be subject to the risk of forfeiture (and, therefore, will become vested) as to 428, 429, 429 and 429 of those shares on March 3, 2020, June 3, 2020, September 3, 2020 and December 3, 2020, respectively, provided that the reporting person is still in the service of the Company on such date. The Reporting Person will not be entitled to vote or dispose of any of the restricted shares or to exercise any other rights of a stockholder with respect to the restricted shares until such shares become vested.
