Infinity Property and Casualty Corporation Announces Offering of Senior Notes
BIRMINGHAM, Ala., Feb. 10 /PRNewswire-FirstCall/ — Infinity Property and Casualty Corporation (Nasdaq: IPCC), a national provider of personal automobile insurance with an emphasis on nonstandard auto insurance, today announced that it intends, subject to market and other customary conditions, to offer up to $200 million principal amount of senior notes due 2014.
Infinity will use the proceeds of the $200 million senior notes offering to prepay $193 million of debt outstanding under its term loan due 2010 and the remainder for general corporate purposes. The notes will be offered to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). The notes will not be registered under the Securities Act and, unless so registered, may not be transferred or resold in the U.S. except pursuant to an exception from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
