Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of common stock of the issuer.

2. The restricted stock units (the "RSUs") were granted to the reporting person in lieu of a portion of the quarterly cash retainer earned by the reporting person as a member of the board of directors of the issuer.

3. In accordance with the reporting person's deferral election, the shares of common stock underlying the RSUs will be converted into an equivalent number of shares of common stock of the issuer following the date the reporting person ceases to be a member of the board of directors of the issuer.
