1. Restricted Stock Unit (RSU) awarded as compensation for services as a Director pursuant to the Knowles Corporation 2018 Equity and Cash Incentive Plan. The RSUs will vest on the date of the Corporation's 2020 annual meeting of shareholders and convert into common stock on a one-for-one basis at that time unless the Director has elected to defer receipt of such shares.
