1. Restricted stock units convert into common stock on a one-for-one basis.

2. On November 20, 2014, the reporting person was granted 6,667 restricted stock units, vesting on the earliest of: (i) the first anniversary of the grant date, (ii) the day immediately preceding the date of the first annual meeting of the Company's stockholders following the grant date, and (iii) the date of a change in control as defined in the Company's 2014 Incentive Award Plan. On September 24, 2015, the Company issued 6,667 shares of common stock to the reporting person pursuant to the vesting of the restricted stock units.
