Explanation of Responses:

1. Reflects the number of shares earned in respect to compound annual growth rate of EBITDA ("EBITDA CAGR") performance-based restricted stock units originally granted on February 14, 2018. On January 7, 2021, the Compensation Committee certified the achievement of the applicable performance metric, which originally measured year-over-year growth rate of the Company over the three year period from January 1, 2018 to December 31, 2020, but which was subsequently modified due to COVID-19 conditions to cover the period from January 1, 2018 to March 31, 2020.

2. Shares surrendered for payment of tax liability incident to vesting of performance-based restricted stock units.
