Explanation of Responses:

1. This amendment is being filed to correct an administrative error that failed to report on Mr. Lahey's Form 3 filed 12/18/2015 his acquisition of restricted stock units of AGR in exchange for restricted stock units of UIL Holdings Corporation (UIL) as a result of the merger of UIL and AGR.

2. Restricted Stock Units represent restricted shares granted to the recipient and deferred under UIL's Deferred Compensation Plan (DCP). Payment of the restricted stock underlying the restricted stock unit is made at the time elected by the recipient pursuant to the terms and provisions of the DCP.
