1. Restricted stock units will vest 25% on July 13th of each of 2016, 2017, 2018 and 2019 provided the grantee remains continuously employed by the Company as of those respective dates.

2. The options become exercisable for 25% of the shares on July 13th of each of 2016, 2017, 2018 and 2019 provided the grantee remains continuously employed by the Company as of those respective dates.
