The RSUs were granted on June 8, 2023 (the "Grant Date"), in accordance with the terms of an Executive Employment Agreement entered into between the Reporting Person and the Issuer on December 5, 2022. The RSUs are scheduled to vest and settle at the earlier of the date of the next annual meeting of stockholders or the one-year anniversary of the Grant Date. |
