These Restricted Stock Awards were fully vested and cancelled in exchange for the per share merger consideration of $47.60 mulitplied by number of shares of Con-way Inc. common stock subject to such Restricted Stock Awards pursuant to that Agreement and Plan of Merger, dated September 9, 2015, among the Con-way Inc., XPO Logistics, Inc. and Canada Merger Corp.
