Explanation of Responses:

1. Payment for a tax liability by withholding securities incident to vesting of a Performance Restricted Stock Unit under the Issuer's 2015 Stock Plan.

2. Amendment to correct transaction as a vesting of Performance Stock Units with shares withheld for taxes and to reflect correct beneficial holdings.
