On August 11, 2009, the Company issued a press release announcing that it had completed the disposition of Park Place I and certain parking areas and development rights within the Park Place campus, a copy of which is furnished as Exhibit 99.1 herewith.
Exhibit 99.1 is being furnished pursuant to Item 7.01 and shall not be deemed “filed” for any purpose, including for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section. The information in this Item 7.01 shall not be deemed incorporated by reference into any filing under the Securities Act of 1933, as amended, or the Exchange Act, regardless of any general incorporation language in such filing.
On August 11, 2009, we completed a deed in lieu of foreclosure with the lender to dispose of Park Place I. Additionally, we closed the sale of certain parking areas together with related development rights associated with the Park Place campus and received proceeds of approximately $17 million that will be used for general corporate purposes. There will be no impairment charge taken during the quarter ending September 30, 2009 as a result of the disposition of these properties as they were written down to their fair value as of June 30, 2009.
