2. Represents the weighted average sales price of the shares sold ranging from a low of $27.61 to a high of $28.74 per share. The undersigned undertakes, upon request by the Commission staff, the issuer or a security holder of the issuer, to provide full information regarding the number of shares sold at each separate price.

3. This option vested in forty-eight equal installments beginning on December 30, 2005.
