Explanation of Responses:

1. Mr. Mitchell, a member of the Board of Directors of Argan, Inc., passed away on October 8, 2024. Mr. Mitchell held non-qualified stock option awards covering 41,500 shares of common stock of the Issuer, that are exercisable by his estate until October 8, 2025, at prices that range from $35.72 per share to $71.75 per share.

2. Mr. Mitchell also held restricted stock units covering a total of 6,000 shares of the common stock of the Issuer that will become issuable to his estate on dates that range from December 14, 2024 through December 14, 2026.
