Replicel Postpones Filing of Interim Financial Statements and MD&A Due to COVID-19 Related Delays
VANCOUVER, BC – August 28, 2020 – Replicel Life Sciences Inc. (the "Company" or "Replicel") has postponed the filing of its interim financial statements and management's discussion and analysis for the six-month period ended June 30, 2020 (the “Interim Documents”), due to logistics and delays caused by the COVID-19 pandemic.
The Company relied on the relief provided by British Columbia Instrument 51-517, Alberta Securities Commission Blanket Order 51-519 and Ontario Instrument 51-505 that allows it to delay the filing of its Interim Documents which are due to be filed on or before August 31, 2020, pursuant to sections 4.2 and 5.1(2) of National Instrument 51-102. In response to the coronavirus disease 2019 pandemic, securities regulatory authorities in Canada have granted a blanket exemption allowing issuers an additional 45 days to complete their regulatory filings.
Replicel estimates that its Interim Documents will be available for filing at its earliest opportunity, which is expected to occur on or before October 15, 2020. Until such time as the Interim Documents are filed, Replicel’s management and other insiders are subject to a trading blackout that reflects the principles contained in section 9 of National Policy 11-207 - Failure-to-File Cease Trade Orders and Revocations in Multiple Jurisdictions.
There have been no material business developments since the date of the last interim financial statements filed on July 31, 2020; however, the Company has issued news releases subsequent to July 31, 2020, copies of which are available on SEDAR at www.sedar.com.
