Item 4 Summary of Material Change
The Company announced that, further to its News Releases of September 6, 2022, October 20, 2022, November 16, 2022 and December 13, 2022, it has closed its private placement financing (the “Offering”), pursuant to which it sold an aggregate of 8,419,650 units (each, a “Unit”) at a price of $0.10 per Unit for gross proceeds of $841,965.
Each Unit consists of one common share of the Company (each, a “Share”) and one-half of one share purchase warrant (each, a “Warrant”). Each whole Warrant entitles the holder thereof to purchase one additional Share of the Company at a price of $0.20 per Share for a period of three years from closing of the Offering.
The Company did not pay any finder’s fees in connection with the closing of the Offering.
The aggregate gross proceeds from the sale of the Offering will be used for general working capital.
The securities issued under the Offering, and the shares that may be issuable on exercise of the Warrants, are subject to a statutory hold period expiring on May 1, 2023.
Each of Andrew Schutte, Peter Lewis, Peter Lowry, Gary Boddington and Jamie Mackay, participated in the Offering and each are considered to be a “related party” within the meaning of Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions (“MI 61-101”) and each issuance is considered to be a “related party transaction” within the meaning of MI 61-101 but each issuance was exempt from the valuation requirement of MI 61-101 by virtue of the exemption contained in section 5.5(b) as the Company’s shares are not listed on a specified market and from the minority shareholder approval requirements of MI 61-101 by virtue of the exemption contained in section 5.7(a) of MI 61-101 in that the fair market value of the consideration of the Units issued to each related party does not exceed 25% of the Company’s market capitalization.
None of the securities sold in connection with the Offering will be registered under the United States Securities Act of 1933, as amended, and no such securities may be offered or sold in the United States absent registration or an applicable exemption from the registration requirements. This news release shall not constitute an offer to sell or the solicitation of an offer to buy nor shall there be any sale of the securities in any jurisdiction in which such offer, solicitation or sale would be unlawful.

Disclosure Required by MI 61-101
Pursuant to MI 61-101, the Offering constituted a “related party transaction” as directors and a 10% shareholder of the Company participated in the Offering.

Andrew Schutte, the Chief Executive Officer, President and director of the Company, was issued 6,219,250 Units for gross proceeds of $621,925.
Peter Lowry, a director of the Company, was issued 100,400 Units for gross proceeds of $10,040.
Peter W. Lewis Inc. (“PWL Inc.”), a company wholly owned by Peter Lewis, a director of the Company, was issued 100,000 Units for gross proceeds of $10,000.
Gary Boddington, a director of the Company, was issued 100,000 Units for gross proceeds of $10,000.
Jamie Mackay, a 10% shareholder of the Company, was issued 1,350,000 Units for gross proceeds of $135,000.

Each of Messrs. Schutte, Lowry, Lewis and Boddington abstained on the resolution of the board of directors approving the Offering with respect to their respective subscription. The Company entered into a subscription agreement with Andrew Schutte pursuant to which Mr. Schutte acquired 6,219,250 Units for gross proceeds of $621,925.
The Company entered into a subscription agreement with Peter Lowry pursuant to which Mr. Lowry acquired 100,400 Units for gross proceeds of $10,040.
The Company entered into a subscription agreement with PWL Inc. pursuant to which PWL Inc. acquired 100,000 Units for gross proceeds of $10,000.
The Company entered into a subscription agreement with Gary Boddington pursuant to which Mr. Boddington acquired 100,000 Units for gross proceeds of $10,000.
The Company entered into a subscription agreement with Jamie Mackay pursuant to which Mr. Mackay acquired 1,350,000 Units for gross proceeds of $135,000.

The Offering is exempt from the valuation and minority shareholder approval requirements of MI 61-101 by virtue of the exemptions contained in Sections 5.5(b) as the Company’s shares are not listed on a specified market and from the minority shareholder approval requirements of MI 61-101 by virtue of the exemption contained in section 5.7(a) of MI 61-101 in that the fair market value of the consideration of the Units issued to each related party did not exceed 25% of the Company’s market capitalization.
As this material change report is being filed less than 21 days before the closing of the Offering, there is a requirement under MI 61‐101 to explain why the shorter period is reasonable or necessary in the circumstances. In the view of the Company, such shorter period is reasonable and necessary in the circumstances because the Company wished to complete the Offering in a timely manner.
