Explanation of Responses:

1. On December 31, 2017, a charitable remainder trust of which the reporting person is a trustee and of which the reporting person and his wife are beneficiaries distributed to the reporting person 6,270 shares of Common Stock in satisfaction of an annual distribution obligation. The reporting person disclaims beneficial ownership of Common Stock held by the charitable remainder trust except to the extent of his and his wife's pecuniary interest therein.

2. The shares are represented by units held in a unitized stock fund through the Issuer's 401(k) Retirement Plan and Trust. The unitized stock fund of the Issuer's 401(k) Retirement Plan and Trust consists of cash and Common Stock in amounts that vary from time to time. As of December 31, 2017, the reporting person had 16,492 units in the Issuer's 401(k) Retirement Plan and Trust, which units consisted of 25,264 shares of Common Stock.
