1. These shares were held in an irrevocable trust for the benefit of the Reporting Person's spouse and children. The Reporting Person is the settlor and the Reporting Person's spouse is the trustee of the trust. The Reporting Person disclaimed beneficial ownership of these securities, and this report shall not be deemed an admission that the Reporting Person was the beneficial owner of such securities for purposes of Section 16 or any other purpose.
