Explanation of Responses:

1. Each restricted stock unit represents the right to receive, at settlement, one share of Franchise Group, Inc. Common Stock.

2. The restricted stock unit award was granted on September 12, 2019 and vests in full on September 12, 2020.

3. Due to a miscalculation, the amount of employee stock options awarded was misstated on the Form 4 filed on September 16, 2019. This Amended Form 4 is being filed to report the correct amount of employee stock options awarded.
