March 20, 2007 – Smurfit Kappa Funding plc, formerly known as JSG Funding plc (the “Company”), announced the results of its cash tender offer (the “Tender Offer”) for up to $470,000,000 of its outstanding 95/8% Dollar Senior Notes due 2012 (the “Dollar Notes”) and up to €219,000,000 of its outstanding 101/8% Euro Senior Notes due 2012 (the “Euro Notes,” and together with the Dollar Notes, the “Notes”).
As of the Expiration Date, March 16, 2007, $742,985,000 in aggregate principal amount of the Dollar Notes and €339,361,000 in aggregate principal amount of the Euro Notes had been validly tendered in connection with the Tender Offer. As a result, the Company intends to accept for payment on March 21, 2007 all Notes validly tendered and not withdrawn at or prior to the Expiration Date on a pro-rata basis of approximately 0.63258 and 0.64533, respectively. The pro-rata aggregate principal amount of Notes purchased will be rounded down to the nearest denomination of $1,000 and €1,000, as the case may be.
Following the Settlement Date (as defined below), $280,117,000 in aggregate principal amount of the Dollar Notes and €131,070,000 of the Euro Notes will remain outstanding. The Company expects to make payment on March 21, 2007 (the “Settlement Date”), subject to receipt on the Settlement Date of sufficient funds. This Announcement includes forward-looking statements. March 22, 2007 – Smurfit Kappa Funding plc, formerly known as JSG Funding plc (the “Company”), today announced that it has launched a second cash tender offer (the “Tender Offer”) for up to $208,000,000 of its 95/8% Dollar Senior Notes due 2012, of which $280,117,000 are outstanding (the “Dollar Notes”), and up to €98,000,000 of its 101/8% Euro Senior Notes due 2012, of which €131,070,000 are outstanding (the “Euro Notes,” and together with the Dollar Notes, the “Notes”), as described in the Offer to Purchase dated as of March 22, 2007 (the “Statement”). To the extent that acceptances of all validly tendered Dollar Notes or Euro Notes, as the case may be, would cause these amounts to be exceeded, the Company will allocate acceptances on a pro rata basis.
The principal purpose of the Tender Offer is to acquire a portion of the outstanding Notes in order to further reduce the outstanding debt of the Company. The Company will finance the payment of the consideration for its purchase of Notes from a portion of the net proceeds it received from the initial public offering (including net proceeds from the issuance of over-allotment shares) of its indirect parent company, Smurfit Kappa plc.
The following table summarizes the pricing terms for the Total Consideration (which is based on the yield of the Reference Security plus the Fixed Spread and includes the Early Tender Payment, as shown below), the Early Tender Payment and the Purchase Price (Total Consideration minus Early Tender Payment) for each $1,000 aggregate principal amount of Dollar Notes and for each €1,000 aggregate principal amount of Euro Notes.

To receive the Total Consideration holders of Notes must tender their Notes prior to 5:00 p.m. London time, Noon, New York time, on April 5, 2007 unless extended (such time and date as the same may be extended, the “Early Offer Deadline”). Holders who tender their Notes after the Early Offer Deadline will be eligible to receive only the Purchase Price.
The Tender Offer expires at 5:00 p.m. London time, Noon, New York time, on April 23, 2007 unless extended by the Company by press release or notice to the Tender Agents in the manner provided in the Statement (such time and date as the same may be extended, the “Expiration Date”).
