Explanation of Responses:

1. The number of shares in column 5 includes 66 vested restricted stock unit ("RSU") dividend equivalent rights at $17.25 per RSU credited to the reporting person's account on 04/04/18.

2. The total direct beneficial ownership reflects a decrease of 15,380 shares due to the transfer of 15,380 shares into the reporting person's Trust on 06/06/18.

3. The total indirect beneficial ownership reflects an increase of 15,380 shares due to the transfer of 15,380 shares previously reported as being held directly by the reporting person into the reporting person's Trust on 06/06/18.

4. There is no reportable change since the last filing. This is a reiteration of holdings only.

5. Each restricted stock unit represents a contingent right to receive one share of Issuer's common stock.

6. As previously reported, on 05/04/18, the reporting person was granted 12,493 restricted stock units ("RSUs"), all of which cliff vested on the earlier of 05/04/19 or the date of Issuer's 2019 Annual Stockholders Meeting. Dividend equivalent rights accrue with respect to these RSUs when and as dividends are paid on Issuer's common stock. The number of derivative securities in column 5 includes 95.1566 dividend equivalent rights at $14.77 per RSU credited to the reporting person's account on 07/04/18, 83.9082 dividend equivalent rights at $16.75 per RSU credited to the reporting person's account on 10/03/18, and 104.4177 dividend equivalent rights at $13.46 per RSU credited to the reporting person's account on 01/02/19.

7. The number of derivative securities in column 5 includes 284 vested dividend equivalent rights and a de minimus adjustment of 0.5175 due to fractional rounding of the dividend equivalent rights.
