| 1. | On July 22, 2004, Friedman, Billings, Ramsey Group, Inc. entered into a $255,000,000 unsecured Credit Agreement (the “Credit Agreement”) with JPMorgan Chase Bank, as Administrative Agent and lender, and the other lenders party thereto. A copy of the Credit Agreement is attached hereto as Exhibit 10.01. |
| 2. | On July 21, 2004, Friedman, Billings, Ramsey & Co., Inc. terminated its $40,000,000 NASD Subordinated Revolving Loan Agreement with Custodial Trust Company. |
