Explanation of Responses:

1. Resolute Forest Products Inc. (the "Company") awarded 12,653.07 deferred stock units, each a "DSU", to the reporting person, representing deferred director fees. Each DSU is the economic equivalent of one share of the Company's common stock. 11,503.07 DSUs were fully vested at the time of award, with the balance to vest proportionately on March 31 in each of the three years following the date of grant. Vested DSUs will settle and become payable in cash after the earliest of (i) death or (ii) December 15 of the year following the year of the reporting person's termination of service (subject to earlier settlement in certain circumstances).

2. Represents the aggregate of all DSUs for deferred director fees beneficially owned by the reporting person.
