Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On August 1, 2013, the Board of Directors of Crosstex Energy, Inc. (the “Registrant”) adopted a resolution amending and restating the Third Amended and Restated Bylaws of Crosstex Energy, Inc. (as amended and restated, the “Fourth Amended and Restated Bylaws”). The Fourth Amended and Restated Bylaws add a new Article VIII, Section 6 that provides, subject to certain exceptions, that the State of Delaware will be the exclusive forum for certain legal actions.
The foregoing description of the new provision of the Fourth Amended and Restated Bylaws does not purport to be complete and is qualified in its entirety by reference to the complete text of the Fourth Amended and Restated Bylaws, a copy of which is filed as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated herein by reference.
