Explanation of Responses:

1. On July 7, 2020, 50,000 shares were transferred from the reporting person to the Sidney Lapidus 2020 GRAT. The reporting person is the trustee and sole beneficiary of the GRAT, therefore the transaction did not result in a change in beneficial ownership.

2. On October 9, 2020, 14,062 shares were transferred pursuant to an annuity payment from the Sidney Lapidus 2019 GRAT to the reporting person. The reporting person is the trustee and sole beneficiary of the GRAT, therefore the transaction did not result in a change in beneficial ownership.
